- Customer: a company, sole trader, partnership or other business that signs a subscription.
- Authorised User: an employee or contractor of the Customer for whom the Customer opens an account.
- Customer Data: all data the Customer or its Authorised Users enter or import into the Service, including customers, quotes, price lists, jobs, payments, documents and photos.
- Subscription Offer: Fencetimator's document setting out the plan, the number of companies, the price and the subscription period.
- Subscription Period: the period for which the subscription is paid, normally 12 months.
3. When these terms apply
- These terms form part of every subscription contract between Fencetimator and the Customer, together with the Subscription Offer and the data processing agreement.
- If the Subscription Offer or a separately signed contract differs from these terms, the Subscription Offer or that contract prevails.
- The Service is for businesses only, for use in their trade. The Customer is not a consumer, and consumer protection law does not apply to the contract.
4. Making the contract
- The contract is made when the Customer accepts the Subscription Offer in writing, including by email, or pays the invoice issued under the Subscription Offer.
- The person accepting the offer for the Customer confirms that they are authorised to make the contract on the Customer's behalf.
- By accepting the offer the Customer confirms that it has read and accepts these terms, the data processing agreement and the privacy policy.
5. The Service
- Fencetimator grants the Customer a non-exclusive, non-transferable right to use the Service during the Subscription Period, for its own business.
- The number of Authorised Users is unlimited, unless the Subscription Offer says otherwise.
- The Service includes regular improvements and new features that Fencetimator releases within the Customer's plan, at no extra charge.
- Fencetimator may change the look and working of the Service, as long as it does not materially reduce the features the Customer has paid for.
- Set-up, the import of price lists and existing data, and staff training are carried out as the Subscription Offer sets out.
6. Accounts and access
- The Customer appoints an Admin, who opens accounts for Authorised Users and gives each of them one of the two roles, Admin or Rep.
- The Customer is responsible for its Authorised Users keeping their sign-in details safe and not sharing accounts.
- The Customer tells Fencetimator without delay about any unauthorised access or suspected unauthorised access.
- Fencetimator may suspend an account temporarily where there are reasonable grounds to suspect misuse or a security risk, and tells the Customer.
7. Acceptable use
The Customer and its Authorised Users must not:
- use the Service against the law or the rights of others,
- enter data they have no lawful basis to process,
- try to reach other customers' data or get round security measures,
- load the Service with automated requests beyond normal use,
- copy, modify, take apart or resell the Service or any part of it,
- let people outside their business use the Service, except contractors working for the Customer.
8. Price and payment
- The price of the subscription and of other services is set out in the Subscription Offer, in pounds sterling (GBP).
- Prices exclude VAT and any other tax, which is charged or accounted for as the law requires.
- The subscription is paid in advance for the whole Subscription Period, against an invoice, by bank transfer.
- Payment is due within 8 days of the invoice date, unless the invoice states another term.
- Fencetimator is entitled to statutory interest on late payments.
- If the Customer does not pay an amount due within 15 days of a written reminder, Fencetimator may suspend access to the Service until payment. Customer Data is kept unchanged in the meantime.
- Fencetimator may change the price for the next Subscription Period by written notice at least 60 days before the current Subscription Period ends. The change does not apply to a period already paid.
9. Term and termination
- The contract runs for the Subscription Period set out in the Subscription Offer.
- At the end of the period the contract renews automatically for the same period, unless either party gives written notice at least 30 days before it ends.
- Either party may end the contract if the other commits a material breach and does not remedy it within 30 days of written notice.
- If the Customer ends the contract because of Fencetimator's material breach, Fencetimator refunds the proportion of the price paid for the unused part of the Subscription Period.
- A paid subscription is not refunded if the Customer ends the contract before the end of the Subscription Period through no fault of Fencetimator.
10. Customer Data
- Customer Data belongs to the Customer. Fencetimator gains no rights in it, except the right to process it to provide the Service.
- Fencetimator processes personal data within Customer Data as a processor, on the Customer's instructions, under the data processing agreement, which forms part of the contract and meets Article 28 of the UK GDPR.
- Fencetimator does not use Customer Data to train artificial intelligence models, does not sell it and does not give it to third parties, except the processors listed in the data processing agreement.
- The Customer can export its data to Excel at any time.
- After the contract ends the Customer has 30 days to export its data. On the Customer's request, Fencetimator sends an export of all its data within that time. After that time Fencetimator deletes Customer Data from the live database, and from backups no later than the end of the backup retention cycle.
- Fencetimator may use aggregated, anonymised data about the use of the Service, from which neither the Customer nor any person can be identified, only to improve the Service.
11. Artificial intelligence
- The Service includes features based on artificial intelligence, such as answers to questions about the business, price list import and alerts.
- Answers are calculated from Customer Data, with the sources and the method of calculation shown.
- The Customer may connect its own AI assistant to the Service. Such an assistant reaches only the Customer's data, within the rights of the user who connected it. The relationship between the Customer and the provider of that assistant is governed by the contract the Customer makes with that provider.
- The Customer is responsible for the business decisions it makes on the basis of the Service's results.
12. Availability and support
- Fencetimator aims for the Service to be available 99.5% of the time each month, not counting planned maintenance.
- Planned maintenance is announced in advance and carried out outside working hours wherever possible.
- Support is available on working days by email at office@fencetimator.com.
- Fencetimator responds to a report of a fault that stops work no later than the next working day.
- Fencetimator makes daily backups of the data.
13. Security
Fencetimator applies the technical and organisational measures described in the data processing agreement, including an encrypted connection, separated data for each company, access control by role, two-factor sign-in, daily backups and a record of changes.
14. Intellectual property
- The Service, the software, the design, the documentation and the Fencetimator name belong to Fencetimator.
- Fencetimator may use suggestions for improving the Service that the Customer sends, freely and without payment.
- The logo, names and documents the Customer enters remain the Customer's property. Fencetimator uses them only to provide the Service, for example to show them on the Customer's quotes.
15. Confidentiality
- Each party keeps confidential all business information of the other party that it receives in connection with the contract.
- This duty does not apply to information that is public, that the party already knew, or that must be disclosed by law or by order of a competent authority.
- The duty of confidentiality lasts for the contract and 3 years after it ends.
- Fencetimator may name the Customer as a reference only with the Customer's prior written consent.
16. Liability
- Each party is liable for loss it causes the other party by breaching the contract.
- Fencetimator's total liability under the contract is limited to the amount the Customer paid for the Service in the 12 months before the event that caused the loss.
- Fencetimator is not liable for loss of profit, loss of business or indirect loss.
- The limits in this section do not apply to loss caused deliberately or by gross negligence, or to breach of data protection and confidentiality duties, to the extent the law does not allow liability to be limited.
- Fencetimator is not responsible for the accuracy of data the Customer enters, for the prices and terms the Customer sets in its price list, or for interruptions caused by the internet, the Customer's equipment or third-party services the Customer uses.
17. Events beyond control
Neither party is liable for failing to perform its duties because of events beyond its control that it could not foresee or prevent, such as natural disasters, war, acts of government and major infrastructure failures. A party affected by such an event tells the other party without delay.
18. Changes to these terms
- Fencetimator may change these terms. Changes are published on fencetimator.com/uk and sent to the Customer by email at least 30 days before they take effect.
- If the Customer does not agree to a material change, it may end the contract before the change takes effect. In that case Fencetimator refunds the proportion of the price paid for the unused part of the Subscription Period.
19. Notices
Notices are sent by email, to the addresses in the Subscription Offer, and to office@fencetimator.com for Fencetimator. A notice is delivered on the day it is sent if sent on a working day before 17:00 UK time, and otherwise on the next working day.
20. Governing law and disputes
- The contract is governed by the law of the Republic of Serbia.
- The parties will first try to settle any dispute by agreement.
- If they cannot, the Commercial Court in Belgrade has jurisdiction.
21. Final provisions
- The Customer may not transfer its rights and duties under the contract to a third party without Fencetimator's written consent.
- If any provision of these terms is found invalid, the other provisions remain in force.
- These terms are written in English for customers in the United Kingdom.
